Terms of Service

Last updated: October 14, 2026

These Terms of Service ("Terms") govern your use of openbrix.ai and the services offered by OpenBrix ("we," "us," or "our"). By using this website or engaging us for a project, you agree to these Terms.

1. Our Services

OpenBrix designs, builds and supports custom AI assistants, agents and workflow automations for businesses. The specific work for each client, including scope, deliverables, timeline and price, is set out in a written proposal or statement of work ("Proposal") that both parties agree to before work begins.

2. Proposals and Agreements

If a signed Proposal or services agreement conflicts with these Terms, the Proposal or agreement controls for that project. Any changes to the agreed scope will be confirmed in writing and may change the price or timeline.

3. Fees and Payment

Fees, payment schedules and accepted payment methods are stated in each Proposal. Unless the Proposal says otherwise, invoices are due within 15 days of issue. We may pause work on overdue accounts until payment is received. Third-party costs needed to run your system, such as AI model usage, hosting and software subscriptions, are your responsibility unless the Proposal states otherwise.

4. Your Responsibilities

To deliver the work, we may need access to your accounts, tools and data. You agree to:

5. Ownership

Once a project is paid in full, you own the custom configurations, prompts and workflows we build specifically for you. We keep ownership of our pre-existing tools, templates, code libraries and know-how, and grant you a license to use any of them included in your deliverables. Third-party software, platforms and AI models remain subject to their own terms.

6. Confidentiality and Data

We keep your business information and data confidential and use it only to deliver and support your project. We give our systems only the access they need, and we don't sell your data. You can ask us to remove our access to your systems at any time.

7. AI Limitations

AI systems can make mistakes, produce inaccurate output or behave unexpectedly. We design safeguards such as approval steps and scoped access, but you are responsible for reviewing important outputs and decisions made with the systems we build. We do not guarantee specific business results.

8. Support and Maintenance

Ongoing support, maintenance and changes after launch are provided as described in your Proposal or a separate support agreement.

9. Termination

Either party may end a project with written notice. You agree to pay for work completed and approved expenses incurred up to the termination date, as described in your Proposal.

10. Disclaimer of Warranties

Except as expressly stated in a Proposal, our services and this website are provided "as is" without warranties of any kind, express or implied.

11. Limitation of Liability

To the maximum extent permitted by law, OpenBrix is not liable for any indirect, incidental or consequential damages, including lost profits or data. Our total liability for any claim relating to a project will not exceed the fees you paid us for that project in the 12 months before the claim.

12. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. The date at the top shows when they were last changed. Changes don't affect Proposals already signed.
